Michigan Audubon Board of Directors

Job Description

Purpose: To govern, support, and provide leadership supporting the mission of Michigan Audubon Society.

Mission: Connecting birds and people for the benefit of both.

Governance responsibilities:*

  • Provide organizational leadership through formulation and review of board policies
      1. define organizational ends policies
      2. establish Executive Director limitation policies
      3. establish Board/Management delegation policies
      4. create and adhere to Board Governance Process policies
  • Hire Executive Director to whom all management functions are delegated
  • Evaluation of Executive Director’s performance in meeting organizational ends
  • Financial monitoring of Executive limitations in regards to the annual budget

*Members of the board share these responsibilities while acting in the interest of Michigan Audubon Society. Each member is expected to make recommendations based on his or her experience in the community and the needs of the Board.

Meetings and time commitment:

  • The board of directors meets five times per year. Meetings typically last 4 hours.
  • Standing committees of the board meet an average of four times per year, pending their respective work agenda.

Expectations of board members:

  • Be prepared for, attend and participate in Board meetings on a regular basis, and participate in special events.
  • Understand and adhere to the processes of Policy Governance for Michigan Audubon Society.
  • Speak with one voice regarding all established policies
  • Become familiar with Michigan Audubon Society’s finances, budget, and financial/resource needs.
  • Financially support Michigan Audubon Society’s Annual Fund in a manner commensurate with one’s ability.
  • Actively participate in fundraising activities
  • Promotion of organizational ends, mission, and programs
  • Participate as a volunteer on committees of the board and assist staff in accomplishing committee assignments
  • Be alert to community concerns that can be addressed by Michigan Audubon Society mission, objectives, and programs.
  • Commitment to develop self and others to serve the organization at the highest standard
  • Adhere to board code of ethics
